This English version is provided for information only. In case of discrepancy, the French version prevails.
Article 1 – Purpose and scope
These terms and conditions of sale ("Terms") govern all sales concluded between SARL Belle Miss, trading as Azzano Bijoux, a French company with a share capital of €40,000, registered office at 135 rue du Temple, 75003 Paris, France, registered with the Paris Trade and Companies Register under number 345 242 184 (the "Seller"), and any trade customer placing an order on azzanobijoux.com, by phone, by email or at the showroom (the "Customer").
Placing an order implies full acceptance of these Terms, which prevail over any purchasing conditions of the Customer unless otherwise agreed in writing by the Seller. The applicable Terms are those in force on the date of the order.
Article 2 – Trade customers only
azzanobijoux.com is a wholesale platform reserved exclusively for trade buyers (retailers, resellers, online stores, fashion and beauty professionals). Account opening is subject to the Seller's approval, and the Seller may request any proof of professional activity (company registration, VAT number).
The Seller may refuse or suspend access to anyone unable to prove trade status. Consumer protection rules, including the right of withdrawal, do not apply to business-to-business sales.
Article 3 – Orders
The minimum order is €100 excl. VAT.
Once the order is placed, the Seller checks product availability and emails the Customer the final invoice when the order is ready. The sale is only concluded upon receipt of payment.
The Seller may cancel or refuse any order in case of an existing dispute, unpaid previous order, stock shortage or any other legitimate reason, and may request a deposit before preparing an order.
Product photos and descriptions are as accurate as possible but are not contractually binding. Slight variations in color or size may occur.
Article 4 – Prices
Prices are shown in euros, excluding VAT. They do not include VAT, charged at the applicable rate on the invoice date, or shipping costs, which are shown on the final invoice.
Prices are only visible to approved trade customers. The Seller may change prices at any time; products are invoiced at the price in force on the date the order is placed.
For deliveries within the European Union outside France, VAT may not be charged (reverse charge) if the Customer provides a valid EU VAT number.
Article 5 – Payment
Orders are payable in full before shipment, after receipt of the final invoice. No payment should be made before receiving this invoice.
Accepted payment methods:
- bank transfer (bank details are shown on the invoice; bank charges are borne by the Customer);
- credit card by phone at +33 1 44 54 09 84;
- cheque drawn on a business account held with a French bank, subject to the Seller's prior approval;
- at the showroom, when collecting the order.
In accordance with Article L.441-10 of the French Commercial Code, any late payment automatically incurs, without prior notice, late payment interest at three times the French legal interest rate, plus a fixed recovery fee of €40. No discount is granted for early payment.
Article 6 – Delivery and collection
Orders are prepared Monday to Friday. Orders placed before 12 pm are processed the same day; orders placed on Friday after 12 pm are processed the following Monday. Shipment takes place after payment has been received and confirmed.
Mainland France (including Corsica):
- Colissimo: estimated delivery within 2 business days after shipment;
- Chronopost: next-day delivery before 6 pm, subject to the carrier's conditions.
Free shipping by Colissimo from €300 excl. VAT to mainland France and Belgium. Not combinable with other offers.
French overseas territories and international: delivery available; costs and lead times are those of La Poste (Colissimo) and are shown on the invoice. Any import duties and taxes are borne by the Customer.
The Customer may also have the order collected from our warehouse by its own carrier, or collect it at the showroom at 135 rue du Temple, 75003 Paris, during opening hours.
Delivery times are given for information only. A delay cannot give rise to cancellation of the order, penalties or damages. The Seller cannot be held liable if delivery is impossible due to an incorrect address provided by the Customer.
Article 7 – Transfer of risk and receipt
Goods travel at the Customer's risk. Risk passes to the Customer as soon as the products are handed over to the carrier or, for collection, to the Customer.
On receipt, the Customer must check the parcel and products. If a parcel is damaged, opened or incomplete, the Customer must record specific reservations on the delivery note, confirm them to the carrier by registered letter within 3 days (excluding public holidays) in accordance with Article L.133-3 of the French Commercial Code, and inform the Seller by email within the same period.
Article 8 – Claims, warranties and returns
Any claim regarding a defective, non-conforming or missing product must be sent to the Seller by email at contact@azzanobijoux.com within 15 days of delivery, with photos and the order number. After this period, no claim for apparent defects will be accepted.
After review, the Seller will, at its discretion, replace the product or issue a credit note. No return may be made without the Seller's prior approval. Products must be returned in their original condition and packaging.
Products that conform to the order are neither taken back nor exchanged. No warranty applies in case of misuse, improper care or normal wear and tear.
The Customer benefits in all cases from the statutory warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).
Article 9 – Product compliance
Our jewelry is nickel-free and complies with the European REACH regulation on lead and cadmium. Resellers based outside the European Union remain responsible for compliance with the regulations applicable in their country of resale.
Article 10 – Retention of title
Ownership of the products is retained until full payment of the price, including any ancillary amounts, in accordance with Articles 2367 et seq. of the French Civil Code. This clause does not affect the transfer of risk set out in Article 7.
Article 11 – Liability and force majeure
The Seller's liability is limited to the amount of the order concerned. The Seller cannot be held liable for indirect damages, or for failure to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code (including strikes, fire, natural disasters, supply shortages and transport disruptions).
Article 12 – Intellectual property
Photos, texts, visuals and trademarks on the website belong to the Seller or its partners. Resellers may use the photos of purchased products solely to promote and resell those products, and for no other purpose.
Article 13 – Personal data
Data collected is necessary to manage accounts, process orders, issue invoices and maintain the business relationship. It is never shared with third parties other than service providers involved in fulfilling orders (carriers, banks). Under the GDPR, the Customer has the right to access, correct and delete its data by emailing contact@azzanobijoux.com.
Article 14 – Governing law and disputes
These Terms are governed by French law. In the event of a dispute, the parties will first seek an amicable solution. Failing that, the Commercial Court of Paris shall have exclusive jurisdiction, including in the event of multiple defendants or third-party claims.
If any clause of these Terms is held invalid, the remaining clauses shall remain fully in force.
